Chapter 1.  General Provisions


 


Article 1


[Name] This organization shall be designated Peoples Solidarity for Participatory Democracy (PSPD)


.


Article 2


[Objective] The organization aims to watch the state power through the voluntary participation of the citizens and to suggest policies and alternatives. It also aims to achieve, through civil actions, a participatory democratic society, which guarantees freedom and righteousness, human rights and welfare.


 


Article 3


[Constitution] The PSPD consists of the members who have joined the organization agreeing with the purpose specified in Article 2. It is operated through the voluntary participation of members.


 


Article 4


[Project] The PSPD performs the following activities to achieve the purpose specified in Article 2.


1. Research on the policies and action plans to achieve the democratic society and activities and discussions to gather civil opinions.


2. People’s supervision and participation in the fields of state affairs such as the legislature, the judiciary, and the administration.


3. Social and institutional efforts to protect and enhance human rights.


4. Disclosing the irregularities and wrongdoing in social sectors such as politics, economy, society, and culture to realize social justice and public good.


5. Citizen education enabling the realization of participatory democracy.


6. Other solidarity businesses and activities which fit the purpose of the organization.


 


Article 5


[Location] The headquarters of the PSPD is located in Seoul. Branch offices can be secured, if necessary.


 



Chapter 2. Membership



 


Article 6


[Membership]


A person who agrees with the purpose of the PSPD and applies for admission by the regular formalities shall be a member of the organization.


The regular formalities for admission shall be decided by the bylaws.


 


Article 7


[Right] Members shall have the following rights.


 1. The right of participation in the administration and decision-making processes of the PSPD.


 2. The right of exercising her/his franchise and eligibility for election.


 


Article 8


[Obligations] Members shall have the following obligations.


 1. The obligation of observing the constitution and bylaws of the PSPD.


 2. The obligation of active participation in projects and campaigns for achieving the purpose of the PSPD.


 3. The obligation of paying a membership fee.


 


Article 9


[Loss of Membership] The member who does not observe the obligations of membership or brings disgrace on this organization shall forfeit the membership by the regular formalities of the bylaws.


 


Article 10


[Council of Members Clubs]


Members of the PSPD can organize a club in consultation with the department of general affairs.


Clubs can organize a council for the purpose of boosting the activities of each club and enhancing solidarity between the clubs.


Council of Members Clubs can organize and implement various programs in accordance with the purpose of the PSPD.


The details of the members club and joint forum are specified by the bylaws.


 


 


Chapter 3. Organization Structure


 



Section 1.  General Assembly


 


Article 11


[Status] The general assembly is the supreme legislative organ and shall be called by names of the entire co-representatives.


 


Article 12


[Convocation] A regular general assembly shall be held annually, and an extraordinary general assembly shall be called at the request of one-third of the enrolled members or by a resolution of the steering committee.


 


Article 13


[Competency and Resolution]


The regular general meeting shall discuss and decide about important subjects for the organization and the administration and decide by the majority for approval. 


The regular general meeting shall decide the following matters.


 1. Revision of the articles of association


 2. Election of the co-representatives


 3. Election of the chairperson, vice chairperson and elected committee members, and approval for appointed committee members of the steering committee


 4. Election of senior advisers and auditors


 5. Approval for a settlement of account, an estimate, and project proposals.


 6. The others


If necessary, the general assembly can be held through the Internet as well.


The operation of the general assembly on the Internet is specified by the bylaws.


 


Section 2.  Steering Committee


 


Article 14


[Status] The Steering Committee is a standing committee which discusses and decides important agenda items of PSPD organizations and businesses.


 


Article 15


[Constitution]


The steering committee is made up of elected committee members with one -year term at the general assembly and of appointed committee members.


Appointed steering committee members are the co-representatives, the chairperson and the vice chairperson of the steering committee, the chairperson and the vice chairperson of the executive committee, the director of each action body, the director of each auxiliary, the chairperson of the policy committee, the chairperson of the policy advisory committee, the secretary general, the deputy  secretary general and representatives of each members club. The qualification of director of each action body and auxiliary, and the head of each members club, who are the appointed members of the steering committee is decided by the bylaws.


The steering committee shall be called and coordinated by its chairperson.


 


Article 16


[Terms of Office] The terms of office for the chairperson and the vice chairperson are 2 years. They can be reappointed.


 


Article 17


[Convocation] The steering committee has two types of session and it will be summoned in every quarter – (1) a regular session convoked by the chairperson of the committee and (2) an extraordinary session convoked at the request of more than one fifth of the committee members or by the resolution of the committee.


 


Article 18


[Resolution] The steering committee shall be opened by the majority vote of all the committee members. The resolution shall be adopted by the favor of a majority of the committee members present.


 


Article 19


[Competency] The steering committee elects the chairperson of the executive committee, a certain number of the vice chairperson, the board member of the policy committee and the elected executive committee member. The steering committee appoints the members of the executive committee and the board members of each action body, who are recommended by the chairperson of the executive committee.


 


Section 3.  Executive Committee


 


Article 20


[Status] The Executive Committee is a standing committee which administers the resolutions of the general assembly and steering committee as well as drives the agendas specified in the PSPD Constitution.


 


Article 21


[Constitution]


1The executive committee consists of elected or appointed members with one-year term. 


2The executive committee is formed by the co-representatives, the chairperson and the vice chairperson of the steering committee, the chairperson and the vice chairperson of the executive committee, the director of each action body, the director of each auxiliary, the chairperson of the policy committee, the chairperson of the policy advisory committee, the secretary general, the deputy secretary general and representatives of each members club. The qualification of director of each action body and auxiliary, who are the appointed members of the executive committee is decided by the bylaws.


3 The executive committee shall be called and coordinated by its chairperson.


 


Article 22


[Terms] The terms of office for the president and vice-president are 2 years. They can be reappointed.


 


Article 23


[Competency]


1 The executive committee establishes the secretariat whose functions are to supervise the action body, arrange budget for the operation of the PSPD.


2 The committee supports activities of the policy committee and each auxiliary.


3 The committee has the Standing Executive Committee to promote its activities


4 The constitution and operation of the standing executive committee is specified by the bylaws.


 


Section 4. Co-representatives, Senior Advisor, Consultant and Auditor


 


Article 24


[Co-representatives]


1 Co-representatives represents the PSPD and are in charge of general affairs.


2 The number of co-representatives shall not exceed 5. The term of their office is 2 years and they could be reappointed.


 


Article 25


[Senior Advisor] Former co-representative, the board of the steering committee, and the board of the executive committee could be a senior advisor.


 


Article 26


[Auditor] PSPD shall have a certain number of auditors to audit the activities and the book of the PSPD.


 


Section 5.  Policy Committee, Action body and Secretariat


 


Article 27


[Policy Committee]


1 The Policy Committee is in charge of researching and policy-making of the PSPD.


2 The committee is made up of the chairperson, a certain number of the vice chairperson, committee-members and sub-committees.


 


Article 28


[Policy Advisory Committee]


1 The PSPD shall have the policy advisory committee that can suggest a stance on a crucial issue.


2 The constitution and operation of the committee shall be specified by the bylaws.


 


Article 29


[Action Body]


1 The PSPD could have an action body for the effective implementation of its activities after resolution of the steering committee.


2 The constitution and operation of the action body shall be specified by the bylaws.


3 Each action body can organize its own activities according to the objectives of the PSPD as well as the purpose of the activities coordinated by the executive committee.


 


Article 30


[Secretariat]


1 The Secretariat under the executive committee manages general affairs of the PSPD.


2 The constitution and operation of the secretariat shall be specified by the bylaws.


 


Article 31


[Secretary General] The Secretary General is recommended by the executive committee and ratified by the steering committee. The term of office is 2 years. The secretary general can be reappointed.


 


Article 32


[Deputy Secretary General] The Secretariat can have several deputy secretaries general for the efficient operation of the department. The appointment and terms of office of the deputy secretaries general follows the case of secretary general


 


Section 6.  Local Branch and Auxiliary


 


Article 33


[Local Branch] Local branches can be established, if necessary, by the decision of the steering committee.


Article 34


[Auxiliary] Auxiliaries can be established, if necessary, by the decision of the steering committee.


 


 


Chapter 4.  Finance


 



Article 35


[Fiscal Year] The fiscal year of the PSPD is from the 1st of January to the 31st of December of every year.


 


Article 36


[Budget and Accounting]


1 The head of the executive committee shall submit the budget plan for the next year to the steering committee and get the approval in the general meeting.


2 The head of the executive committee shall take the audit of the auditor within 2 months from the end of the fiscal year and submit the settlement of accounts to the steering committee.


 


Article 37


[Revenue] The sources of revenue of the PSPD consist of membership fees, donations, special fund-raising, and other profits.


 


 


Chapter 5. Dissolution


 



Article 38


[Grounds for Dissolution] The PSPD will be dissolved by the following grounds.


1 When the PSPD achieved the purpose of foundation.


2 When the PSPD decided that it would be impossible to achieve the purpose of foundation.


3 When there would be a grave circumstance that could affect the continuation of a group activity that is accompanied by other purpose of foundation.


 


Article 39


[Dissolution Procedure]


     In the case that PSPD finds reason for dissolution, the ultimate decision will be made by the general committee.


     In order to conduct proper liquidation and dissolution of PSPD, a liquidation committee will be formed by the general committee


 


Article 40


[Belonging of Residual Asset] In the case of the dissolution of PSPD, its residual assets will be donated to the State and/or local government, or to an organization whose objectives align with the objectives of the PSPD.


 


 


Chapter 6. Supplementary Rules


 



Article 41


[Limitation to the Activities in the Political Party and Other Organizations]


     The Major director shall resign in case they get affiliated with any political party or they run for official election.


     The range of the major directors is specified in the bylaws.


 


Article 42


[Application Mutatis Mutandis]


1 General democratic principles and bylaws are applied to the cases unspecified in this constitution.


2 Bylaws are established and revised by the resolution of the Standing Executive Committee.

This Constitution comes into force at the moment this gets ratified in the general meeting on the founding day.
